Terms and Conditions
Please review the following Partner Program Agreement terms and conditions
Authorized Sales Partner Agreement ---------------------------------- Agreement between IntellAgent Solutions LLC (henceforth called “Intellagent”) and the applicant (henceforth called “Sales Partner”) 1. Referrals Sales Partner may, from time to time, learn of certain third parties that might be interested in Intellagent products for a specific project opportunity (a “Prospect”). In such event, Sales Partner will contact the third party to determine whether it would like to discuss the Products. If the third party indicates that it might be interested in the Products, with the third party's approval, Sales Partner will promptly contact Intellagent by completing a provided Registration Referral Form. a) A “Registered Referral” means a Prospect for which the foregoing information has been provided to Intellagent and which Intellagent has agreed in writing to accept as a Registered Referral under this Agreement. Registered Referrals refer to specific project opportunities, not to Prospect organizations. b) Intellagent may refuse to register a Prospect if it has already been identified by Intellagent or by a third party with whom Intellagent has a referral or other relationship, or if the Prospect is not a viable opportunity based on Intellagent’s internal standards. c) The parties agree to work together to create a joint selling plan to sell Intellagent Products to Registered Referrals. Unless otherwise agreed, Sales Partner will be the lead contact with the Registered Referral for such sales contacts. 2. Sales Partner Responsibilities a) Sales Partner shall inform third parties of the availability and general nature of the Products offered by Intellagent. b) Sales Partner shall use reasonable efforts to qualify Prospects for Intellagent Products and agrees to educate itself to a reasonable extent about the nature of Intellagent Products. Sales Partner, however, shall have no obligation to contact any particular third party or to take any special steps or efforts in seeking to identify any third party that might be interested in the Products. Sales Partner shall have no quotas or other specific requirements as to the number of third parties it shall be required to contact or refer pursuant to this Agreement. c) Sales Partner is not authorized to make, and Sales Partner agrees not to make, any representations of fact regarding the Products or any representations or warranties regarding the Products. Sales Partner and Intellagent are independent contractors and neither shall have the power or authority to make any contract for, create any obligations or liabilities against, the other. This Agreement is not, and is not intended to be or create, a joint venture or similar arrangement between Sales Partner and Intellagent. 3. Compensation of Sales Partner a) With respect to each Registered Referral successfully made by Sales Partner and accepted by Intellagent in accordance with Section 1, Intellagent agrees to pay Sales Partner a Referral Fee amount as described below. The subject Referral Fee obligation shall apply only if the Registered Referral enters into a contract with Intellagent within six (6) months after it became a Registered Referral. All fees will be paid based on the net software, hardware, and/or customization services invoice dollar amount in which Intellagent will invoice the Client. Referral fees are paid to the Sales Partner for new software sales, annual software assurance (maintenance) sales, and Intellagent-provided customization services. This net revenue amount is exclusive of any shipping, taxes, travel, and insurance charges/fees. Qualifying Revenue Referral Fee Rate -------------------- ----------------- $1 - $20,000 15% $20,001 and greater 20% b) Referral Fee amounts will be paid to Sales Partner within 15 days of the date Intellagent receives payment from the Registered Referral, its representatives or assigns. 4. Term. The term of this Agreement shall be for a period of one (1) year. Unless either party provides written notice to the other party thirty (30) days prior to the expiration of this Agreement, this Agreement shall be automatically renewed for successive periods of one (1) year thereafter. Notwithstanding the foregoing, either party may terminate this Agreement at any time on not less than thirty (30) days prior written notice to the other party. In the event of the termination or expiration of this Agreement, then: (a) Intellagent’s obligation to pay Referral Fees to the Sales Partner for Registered Referrals shall continue pursuant to the terms of Section 3, and (b) the provisions of Sections 5 and 6 shall survive termination or expiration of this Agreement. In the event Sales Partner breaches its obligations under Section 2 above, Intellagent may immediately terminate this Agreement without any obligation to pay Referral Fees under the terms of Section 3. 5. Confidentiality Both parties agree to execute a Non Disclosure Agreement as part of the execution of this Agreement. 6. Miscellaneous a) This Agreement constitutes the entire agreement between Intellagent and Sales Partner regarding the subject matter of this Agreement, and all prior and contemporaneous oral or written conversations or agreements are merged herein. Neither party shall modify this Agreement except by written agreement signed by a duly authorized representative of both parties. b) All notices, communications, or payments shall be sent to the party's respective addresses set forth above, unless such party gives written notice to the other party of any change of address. c) Intellagent and Sales Partner may waive any term of this Agreement included for its benefit on any occasion or series of occasions only if in writing signed by an authorized representative of the party, and such waiver or waivers shall not be construed as a continuing waiver by Intellagent and Sales Partner of such term on any subsequent occasion. d) This Agreement shall be governed by and construed in accordance with the substantive laws of the Commonwealth of Virginia. In case of a disagreement that cannot be resolved through mutual negotiations, both parties agree that the dispute will be handled in a court of law in the Commonwealth of Virginia. e) Neither party may assign its rights or delegate the performance of its duties under this Agreement without the prior written consent of the other party. f) Nothing in this Agreement shall be deemed to establish an exclusive arrangement between the parties, and each party is free to establish similar arrangements with other parties. Sales Partner agrees that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
